This Agreement of Adhesion (hereinafter referred to as the "Agreement") defines the procedure for mutually beneficial cooperation between the Parties, mutual rights, obligations, and the order of relations between: limited liability company "Benefits Solution", registered with the Minsk City Executive Committee on June 1, 2020, in the Unified State Register of Legal Entities and Individual Entrepreneurs under No. 193425788, represented by the Director of the Managing Organization LLC "LEKOD" Victoria Anatolyevna Yegorova, acting on the basis of the Charter and Agreement No. 1/20 dated June 1, 2020, hereinafter referred to as "GetBenefits.io", and a legal entity, individual entrepreneur, or individual paying a single tax for activities provided for by the Tax Code, or engaged in craft activities, hereinafter referred to as "Partner", having accepted (accepted) the public offer (offer) to conclude this Agreement, collectively referred to as the "Parties," and individually as the "Party."

1. TERMS AND DEFINITIONS

In the Agreement, wherever not otherwise provided, the following terms and definitions are used:

1.1. GetBenefits.io — limited liability company "Benefits Solution," registered with the Minsk City Executive Committee on June 1, 2020, in the Unified State Register of Legal Entities and Individual Entrepreneurs under No. 193425788.

1.2. Partner — any legal entity, individual entrepreneur, or individual paying a single tax for activities provided for by the Tax Code, or engaged in craft activities, who has accepted (accepted) the public offer (offer) to conclude this Agreement.

1.3. Affiliate Program – opportunities provided by GetBenefits.io on the Site to Partners who have joined this Agreement.

1.4. Site — the website located in the Internet zone of the Republic of Belarus with the domain name "getbenefits.io," owned by LLC "Benefits Solution" (hereinafter — the "Site").

The Site is the official source of publication of this Agreement.

2. SUBJECT OF THE AGREEMENT

2.1. The subject of this Agreement is mutually beneficial cooperation between the Parties aimed at obtaining economic benefits for each of the Parties, which includes the following:
- GetBenefits.io provides the Partner with the opportunity to use the available features of the Site under the terms of this Agreement, including the ability for the Partner to provide information about themselves (within the limits established in the respective categories), including information about the Partner's discounts.
- The Partner, in turn, undertakes to provide GetBenefits.io customers with the discount indicated in the system, when the customer presents the physical or virtual GetBenefits.io discount card.

2.2. The Parties build their relationship on the basis of strategic partnership and undertake, in their relations with each other and third parties, to consider the mutual interests of each Party, act towards third parties in a way that maximally protects the rights and interests and promotes economic benefit for the other Party.

2.3. The Parties undertake to promote the formation of a positive image of the other Party in the eyes of potential consumers and business partners, take measures, and spread information aimed at strengthening the business reputation of the other Party.

2.4. This Agreement is not a simple partnership agreement within the meaning of Chapter 54 of the Civil Code of the Republic of Belarus (hereinafter referred to as the "Civil Code"). In particular, the Parties do not combine their contributions, do not engage in joint business, etc.

3. PROCEDURE FOR CONCLUDING THE AGREEMENT

3.1. This Agreement is an adhesion contract (Article 398 of the Civil Code).

3.2. The publication (posting) of the text of this Agreement on the Site constitutes a public offer (offer) by GetBenefits.io, addressed to an indefinite circle of persons, to conclude this Agreement (paragraph 2 of Article 407 of the Civil Code).

3.3. The conclusion of this Agreement is carried out by the Partner joining this Agreement, i.e., by the Partner accepting (accepting) the conditions of this Agreement as a whole, without any exceptions or reservations (Article 398 of the Civil Code).

3.4. The fact of the Partner's acceptance (acceptance) of the conditions of this Agreement is the Partner's registration on the Site (paragraph 3 of Article 408 of the Civil Code), and for Partners who are already registered on the Site, it is not deleting the personal account within 2 (two) business days from the date of the publication of this Agreement.

3.5. By registering on the Site, the Partner simultaneously confirms their unconditional agreement to accept and comply with the conditions of this Agreement.

3.6. This Agreement, provided the procedure for its acceptance is observed, is considered concluded in simple written form (paragraphs 2, 3 of Article 404, paragraph 3 of Article 408 of the Civil Code).

3.7. The Parties recognize the location of GetBenefits.io as the place of conclusion of the Agreement.

3.8. The Partner gives their consent to the use of data transmitted within the framework of this Agreement by GetBenefits.io, and the latter undertakes to maintain confidentiality regarding the information provided by the Partner and not to use it for any purposes other than for the performance of this Agreement and cases provided for by this Agreement.

3.9. The Partner's accession to the Agreement (acceptance of the offer) implies the Partner's unconditional agreement with the Privacy Policy published on the Site.

3.10. GetBenefits.io has the right to unilaterally amend the terms of this Agreement by making changes to the contract form posted on the Site.

4. PARTNER PROGRAM

4.1. To join the Partner Program, the Partner must register on the Site by filling out the form provided on the corresponding section of the Site, with mandatory provision of information as required by the said form.

4.2. The Partner is responsible for the accuracy and correctness of the information provided by them during registration on the Site, as well as for all actions performed using their email address and password to access the profile on the Site. The Partner has the right to use the Site's services only using their own email address and password.

Using well-known names, including protected names, as their profile name is not allowed, and the use of such names by third parties without the consent of their owners is prohibited and/or may mislead other Site users about the identity (affiliation) of the Partner. In the event of GetBenefits.io detecting a violation of this rule by the Partner, the Partner must rectify the violation within 3 (three) days from the moment of notification by GetBenefits.io. In case the Partner fails to rectify the violation within the specified period, GetBenefits.io has the right to terminate the cooperation with the Partner stipulated in the Agreement, as well as to block their access to the personal account on the Site until the Partner rectifies the identified violation.

4.3. The Partner must immediately change the data used to access the Site's services if they have reasons to suspect that their email addresses and passwords used to access the Site's services have been disclosed or may be used by third parties.

4.4. GetBenefits.io reserves the right, if necessary, to contact the Partner: send informational messages to the email address provided during registration, as well as to the Partner's mobile phone. Sending necessary information related to the execution of this Agreement by GetBenefits.io to the email address and/or mobile phone number indicated in the profile and/or online registration form is considered proper notification to the Partner by GetBenefits.io.

4.5. The Partner is prohibited from providing access to the profile registered on the Site to third parties.

4.6. By registering on the Site, the Partner expresses their full and unconditional agreement:
- with the terms of this Agreement;
- to the publication of reviews (ratings) by other Site users about the Partner's activities in relation to Site users, as well as their own rating.

4.7. GetBenefits.io has the right to unilaterally refuse to execute the Agreement in the event of the Partner placing materials and information that violate the legislation of the Republic of Belarus on the Site, as well as in case of other violations of the Agreement's terms by the Partner.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. GetBenefits.io undertakes:

5.1.1. To provide the Partner with access to the Site's functionality after completing registration on the Site;

5.1.2. To ensure the confidentiality of information provided by the Partner, except in cases where providing access to such information to third parties is a necessary condition for the execution of the Agreement or is mandatory in accordance with the requirements of the legislation of the Republic of Belarus.

5.2. GetBenefits.io has the right:

5.2.1. To unilaterally refuse to execute the Agreement at any time, including in case of the Partner's violation of the terms of this Agreement;

5.2.2. To refuse to post or delete materials of the Partner without their notification, containing photos, information, or links to information that contradicts the legislation of the Republic of Belarus;

In this case, GetBenefits.io is not obliged to verify the Partner's materials for compliance with the current legislation of the Republic of Belarus.

5.2.3. To update the content, functional capabilities, and user interface of the Site at any time at its own discretion;

5.2.4. To suspend the operation of the Site to carry out necessary planned maintenance and repair work on the technical resources of the Site, as well as unscheduled work in emergency situations, whether notifying the Partner or not, if it is technically possible to do so, by posting relevant information on the Site;

5.2.5. To interrupt the operation of the Service if it is due to the impossibility of using information and transport channels that are not GetBenefits.io's own resources or due to the actions and/or inaction of third parties, if this directly affects the operation of the Site, including in case of an emergency situation;

5.2.6. To unilaterally make changes to this Agreement;

5.2.7. To have and exercise other rights arising from this Agreement.

5.3. The Partner undertakes:

5.3.1. To provide GetBenefits.io with accurate information provided by this Agreement;

5.3.2. To comply with the terms of this Agreement;

5.3.3. To provide GetBenefits.io's customers (Site users) with the discount specified in the system when presenting the physical or virtual GetBenefits.io discount card;

5.3.4. Not to take actions that may be regarded as a violation of the legislation of the Republic of Belarus or norms of international law, including in the field of intellectual property, copyright and/or related rights, as well as any actions that lead or may lead to the disruption of the normal operation of the Site;

5.3.5. To ensure the security and confidentiality of service information received from GetBenefits.io (links, names, access passwords, etc.);

5.3.6. To fulfill other obligations provided by this Agreement.

5.4. The Partner has the right:

5.4.1. To use the Site within its functional capabilities and on the terms provided by this Agreement;

5.4.2. To have and exercise other rights arising from this Agreement;

5.4.3. To unilaterally refuse to execute the Agreement within 10 (ten) business days prior to the termination of the Agreement.

6. RESPONSIBILITY OF THE PARTIES

6.1. The Parties shall be released from liability (in whole or in part) if the non-performance or improper performance of obligations is due to the occurrence of force majeure circumstances, the adoption of regulatory legal acts establishing prohibitions or restrictions, earthquakes, floods, and/or other natural disasters, transport accidents, and other circumstances that arose after the conclusion of this Agreement, which the Parties could not foresee or prevent by reasonable measures (force majeure).

6.2. GetBenefits.io shall be exempt from liability for losses incurred by the Partner, either directly or indirectly, as a result of full or partial use or lack of ability to use the Site in the following cases:

6.2.1. If the losses are caused in connection with the replacement, repair, or adjustment of equipment, software, or other work carried out to maintain the operability or improvement of the software and technical means of GetBenefits.io;

6.2.2. If the losses are caused by the actions or inaction of third parties or due to the non-functionality of telecommunications channels, data transmission networks, information resources, or services, as well as accidents (malfunctions) in power electric or computer networks, which are beyond the scope of GetBenefits.io's own resources or the functioning of which GetBenefits.io cannot influence;

6.2.3. If the losses are caused by the presence of errors or malicious components in the software used on the Internet servers, as well as in the software used by the Partner;

6.2.4. If the losses are caused by the Partner's failure to maintain the confidentiality of their account data or other confidential information, as well as due to unauthorized access by third parties to the technical or information resources of the Partner.

6.3. GetBenefits.io is not responsible for the content of advertising materials posted by the Partner, as well as for the content of information posted on the Partner's information resources. At the request of GetBenefits.io, the Partner must provide the necessary evidence of the compliance of the distributed advertising information with the requirements of advertising legislation, as well as the availability of the necessary exclusive rights for the placement of advertising materials.

6.4. GetBenefits.io is not responsible for the content of materials posted by the Partner on the Site, for inaccurate (improper) advertising, possible copyright infringements, trademark infringements, lack of approval of advertising materials by state authorities if such approval is required, as well as for compliance by the Partner with other norms of the legislation of the Republic of Belarus, as well as for the content of information posted on the Partner's information resources.

6.5. The Partner independently bears responsibility for having a certificate of state registration, all necessary licenses, certificates, permits, and approvals from state authorities in accordance with the law, for engaging in the type of activity (sale of goods), the information about which is posted on the Site, as well as for posting information about the products, works, services produced/sold by the Partner on the Site.

6.6. The Partner shall compensate any losses incurred by GetBenefits.io due to the placement of advertising materials by the Partner on information resources, the content of which contradicts the legislation of the Republic of Belarus.

7. WITHDRAWAL OF OFFER

7.1. This offer is not irrevocable.

7.2. Withdrawal of the offer can be made by GetBenefits.io at any time, but this does not constitute grounds for refusing GetBenefits.io's obligations under already concluded agreements.

7.3. The withdrawal is made by placing relevant information on the Site.

7.4. GetBenefits.io undertakes to post a notice of the withdrawal of the offer on the Site, indicating the exact time of the withdrawal of the offer.

8. ACTION, AMENDMENT, AND TERMINATION OF THE AGREEMENT

8.1. This Agreement is valid for an indefinite period until its full performance by the Parties or until termination in the manner provided for by this Agreement.

8.2. Changes and/or additions to this Agreement are made unilaterally by the decision of GetBenefits.io.

8.3. Changes and/or additions made by GetBenefits.io to this Agreement at its own initiative shall enter into force on the day following their publication on the Site.

8.4. The text of changes and/or additions to this Agreement or its new edition is brought to the attention of the public by GetBenefits.io by posting (publishing) relevant information on the Site.

8.5. The Parties agree that silence (the absence of written notices of termination of this Agreement or disagreement with individual provisions of this Agreement) shall be considered consent and adhesion of GetBenefits.io to the new edition of this Agreement.

8.6. In case of the Partner's disagreement with the changes and/or additions made unilaterally by GetBenefits.io to this Agreement, the Partner has the right within 10 (ten) business days from the date of the entry into force of the changes and/or additions to refuse to perform this Agreement, notifying GetBenefits.io by email to the email address specified in this Agreement.

9. OTHER TERMS

9.1. The Parties have agreed that the execution of this Agreement may involve the use of signatures of the Parties' representatives, as well as their stamps through fax communication, mechanical or other copying, electronic digital signature, or other analog of a handwritten signature of executives and seals of organizations. The Parties confirm that attachments to this Agreement, signed and executed in the manner specified in this paragraph, have legal force and are binding for execution by the Parties.

9.2. The Parties agree to give legal force to documents and messages sent (received) by the Parties by email from the following addresses and to the following addresses:
- On the part of the Partner: email addresses specified by the Partner during registration on the Site;
- On the part of GetBenefits.io: hello@getbenefits.io.

In this case, letters sent from the specified email addresses are considered signed by authorized representatives of the Party for the implementation of all issues of this Agreement.

Letters sent to any of the specified email addresses are deemed received by the respective Party on the next business day after their dispatch.

The above list of email addresses can be changed by each Party independently by informing the other Party with the respective notification.

9.3. In all other matters not provided for in this Agreement, the Parties shall be governed by the current legislation of the Republic of Belarus.

10. PERFORMER'S DETAILS

10.1. The Parties unconditionally agree to consider the Partner's details the information provided by the Partner when filling out the registration form on the Site.
